Overview

These Terms & Conditions ("Terms") govern your use of Desk (the "Service"), provided by Viaduct Learn Ltd ("Desk", "we", "us"). By creating an account or using the Service, you agree to these Terms.

01Eligibility

You must be at least 16 years old, or the age of digital consent in your country, to use Desk.

02Your account

• You're responsible for the accuracy of the information you provide and for keeping your login details secure.
• Don't share your account or let anyone else use it.
• Tell us promptly at legal@desk.study if you suspect unauthorised access.

03Acceptable use

Desk is built for genuine study. When using it, you agree not to:

• Break the law, infringe others' rights, or upload harmful or unlawful content.
• Attempt to disrupt, reverse-engineer, or gain unauthorised access to the Service.
• Use the Service to harass others or to misrepresent someone else's work as your own.
• Resell, scrape, or use the Service to build a competing product.

04Your content

The notes, annotations and materials you create remain yours. You grant Desk a limited licence to store and process your content solely to provide the Service to you — for example, to map your understanding and provide more useful AI responses. This licence ends when you delete your content or close your account, as described in our Privacy Policy.

Only upload material you have the right to use — don't add anything that infringes someone else's copyright or other rights. If you upload material you aren't entitled to use, you're solely responsible and liable for it.

05AI features & academic integrity

Desk uses AI to do things like explain concepts, summarise notes and find useful research materials. It's designed to support understanding and show its working — not to complete assessments for you.

• You're responsible for using Desk in line with your institution's academic-integrity rules.
• AI output can be imperfect; always check important facts and never submit AI-generated work as your own where that's prohibited.
• We don't train foundation models on your content, as set out in our Privacy Policy.

06Plans, payment & AI tokens

Every account starts on Desk Basic (free). Desk Premium is an optional paid subscription at £12.99/month — it begins only if you choose to upgrade, and renews automatically each month until cancelled.

• AI tokens. Basic includes up to 50,000 AI tokens in total (not per month). Once they’re used, access to AI features is restricted; Basic users can’t buy additional tokens — upgrading to Premium is the only way to keep using AI features. Premium includes 250,000 AI tokens per month.
• Additional credits. Premium users can buy additional AI credits at any time. Purchased credits apply immediately and last until the end of the current billing cycle; unused credits don’t roll over.
• Storage. Basic accounts can’t store individual materials above 20MB. Premium includes unlimited storage.
• Cancelling & downgrading. Premium users can downgrade to Basic at any time. Premium features continue until the end of the current billing cycle, after which your account returns to Basic. Fees already paid aren’t refunded except where the law requires.
• Price changes. We’ll give you reasonable notice of any price change before it takes effect; changes apply from your next billing cycle.

07Advertising & sponsorship

Desk is free at the point of use because parts of the Service are supported by advertising and sponsorship.

• Desk Basic is ad-supported: you may be shown advertisements within the Service.
• Desk Premium removes advertisements. Some surfaces may still carry sponsorship — for example, a study space presented with a sponsor’s name — but Premium users aren’t shown interruptive ads.
• Formats may evolve. We may introduce new advertising or sponsorship formats over time. Where a change meaningfully affects your experience, we’ll tell you in the Service.
• Advertising never reaches into your work: sponsors and advertisers don’t see your notes, messages or personal data (see our Privacy Policy).

08Our intellectual property

The Service — including its software, design, branding and content we create — belongs to Viaduct Learn Ltd and is protected by intellectual-property laws. These Terms don't grant you any right to use our trademarks or materials beyond using the Service as intended.

09Availability & changes

We work hard to keep Desk reliable, but we don't guarantee uninterrupted access. We may update, add or remove features, and occasionally take the Service down for maintenance. Where changes are material, we'll give reasonable notice.

10Limitation of liability

The Service is provided "as is". To the fullest extent permitted by law, Viaduct Learn Ltd isn't liable for indirect or consequential loss, or for outcomes such as exam results, which depend on many factors beyond the Service. Nothing in these Terms limits liability that cannot be limited by law, including for death or personal injury caused by negligence.

11Suspension & termination

You can close your account at any time. We may suspend or end access if you breach these Terms or use the Service in a way that risks harm to others or to Desk. Where reasonable, we'll let you know and give you a chance to put things right first.

12Governing law

These Terms are governed by the laws of England and Wales, and any disputes will be subject to the exclusive jurisdiction of its courts, unless mandatory local law in your country of residence provides otherwise.
